I. About This Article

An unlawful transaction is one of the most important concepts in civil law. Through this mechanism, the law restricts agreements that violate statutory prohibitions, public order or standards of morality.

In practice, parties may formally enter into a contract, perform it for years and only later discover that the agreement may not produce the legal effect they intended. Article 54 of the Civil Code of Georgia addresses such situations and provides that a transaction that violates law, public order or morality is void.

For the stability of civil circulation, it is essential that freedom of contract does not become an unlimited right. Although private parties may freely determine the terms of their cooperation, this freedom is limited where the protection of law, public interest and legal order begins.

For this reason, an unlawful transaction may formally exist even where both parties agree to specific terms and the contract appears properly drafted.

In Georgian law, invalidity of transactions does not always have the same meaning. In some cases, an agreement is considered void from the beginning and cannot produce legal effects. This is why businesses should be careful with agreements involving excessive penalties, disproportionate interest, abusive security mechanisms or contractual terms that create a clearly one-sided burden for the other party.

IV. What Are the Consequences of an Unlawful Transaction?

If a court establishes that an unlawful transaction exists, the main legal consequence is invalidity.

This means that the parties may be required to return what they received under the unlawful transaction and restore the relationship to the position that existed before the transaction was concluded. In practice, these issues are often regulated through the rules on unjust enrichment.

However, the consequences are not identical in every case. Sometimes only a specific clause is invalid, while the remaining part of the contract continues to operate. In other cases, the entire contract loses legal force.

For example, if a single unlawful term can be separated from the rest of the agreement, the court may assess whether the contract can continue without that clause. But if the unlawful purpose affects the core of the transaction, the entire agreement may be treated as invalid.

This is why each case requires individual legal analysis. The assessment depends on the purpose of the contract, the violated rule, the parties’ conduct, the content of the agreement and the legal consequences intended by the parties.
